These terms govern every purchase from Peridyn Labs. Purchase constitutes agreement.

"Buyer" means the individual or entity purchasing Materials from Brian X Base LLC, doing business as Peridyn Labs ("Peridyn"). "Company," "we," "our" mean Brian X Base LLC, doing business as Peridyn Labs. "Materials" means any product supplied through this website. "RUO" means for research use only: intended solely for in-vitro laboratory research and not for administration to humans or animals. "Qualified Researcher" means a person over 21 years of age who is a principal investigator, research staff member, or authorized procurement agent of a research programme, laboratory, contract-research organization, academic institution, or similar research setting.
By purchasing Materials, Buyer certifies under penalty of perjury and 18 U.S.C. § 1001 that:
All Materials are supplied as chemical reference standards for in-vitro laboratory research use only. No Material is intended, warranted, or fit for any use in the diagnosis, cure, mitigation, treatment, or prevention of any disease or condition, or to affect the structure or function of the human or animal body. No Material is sold as a drug, food, cosmetic, or dietary supplement.
Buyer will not, and will not permit any third party to: (a) administer any Material to any human or animal by any route (oral, topical, injectable, inhaled, or otherwise); (b) sell, distribute, or transfer any Material to a person who is not a Qualified Researcher; (c) misrepresent the nature of the Materials to any downstream recipient; (d) reverse-engineer, adulterate, or contaminate any Material.
Peridyn Labs reserves the right, at any time and for any reason, to: refuse, cancel, or modify any order; require additional verification of Buyer's Qualified Researcher status; limit quantities of any SKU per order or per calendar period; and remove any SKU from the catalog. Refused orders are refunded in full within 5 business days.
Prices are in United States dollars and are subject to change without notice. Peridyn does not price-guarantee retroactively. Payment is processed at the time of order for one-time purchases and at each recurring interval for subscriptions. Sales tax is applied where required by law.
Subscriptions renew automatically on the cadence selected at checkout (30, 60, or 90 days). Each renewal is charged at the then-current subscription rate, which will not exceed the initial rate absent 30-day notice. A pre-renewal email is sent 5 days before every recurring charge. Buyer may skip, pause, change cadence, or cancel at any time from Buyer's account portal without contacting support. Cancellation takes effect immediately and stops all future renewals; no cancellation fee applies. Post-cancellation, previously delivered material remains subject to all provisions of these Terms.
Shipping terms are FOB Peridyn Labs warehouse; risk of loss passes to Buyer upon delivery to the carrier. Peridyn maintains a damage-in-transit replacement policy documented in the Shipping Policy. Signature-on-delivery is available on request.
Refund policy is set forth in the Refund Policy. Because peptide reference standards are sensitive materials, unopened returns for reasons unrelated to defect or transit damage are not accepted.
Peridyn Labs warrants that each Material as-shipped conforms to the specifications on the applicable batch Certificate of Analysis published for that Material. Peridyn disclaims all other warranties, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. Peridyn specifically disclaims any warranty of fitness for human or veterinary use, because no Material is fit for such use.
Peridyn's liability for any claim arising from these Terms or the Materials is limited to the price paid for the specific lot giving rise to the claim. In no event will Peridyn be liable for indirect, incidental, consequential, or punitive damages, even if advised of the possibility.
Buyer will indemnify, defend, and hold harmless Peridyn Labs, its officers, directors, employees, and agents from any claim, loss, or liability arising from Buyer's breach of these Terms — including without limitation any claim arising from any administration of Materials to a human or animal in violation of Section 4.
To preserve Peridyn's research-only positioning, Buyer will not post, permit, or attribute to Peridyn Labs any testimonial, review, before-and-after description, or other content describing personal use of the Materials by any human or animal. Peridyn reserves the right to remove such content from any Peridyn-controlled channel and to terminate Buyer's account for such postings.
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute will be resolved exclusively in the state or federal courts sitting in New Castle County, Delaware, and Buyer irrevocably consents to that jurisdiction.
Except for claims for injunctive relief or intellectual-property enforcement, any dispute arising from these Terms will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Buyer waives any right to bring a claim as a class action or to participate in a class action. This waiver is intended to be as broad as permitted by applicable law and is severable if a court finds it unenforceable in a specific jurisdiction.
Peridyn will not knowingly ship to any person listed on any US-government prohibited-parties list, or to any destination subject to comprehensive US sanctions. Buyer represents Buyer is not a prohibited person and will not re-export any Material contrary to US or destination-country law.

Peridyn may update these Terms from time to time. The current version is always posted at this URL with a version date. Material changes are notified by email to Buyers with active subscriptions and take effect 30 days after posting.
These Terms, together with any purchase order acknowledged in writing by Peridyn, constitute the entire agreement between the parties concerning the subject matter and supersede any prior discussions.
